Terms of Service

Effective date: July 2026

Welcome to Veyalo. These Terms of Service ("Terms") govern your access to and use of the Veyalo mobile application ("App") provided by Veyalo ("we," "us," or "our"). By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

1. Eligibility

You must be at least 13 years of age (or the minimum age of digital consent in your jurisdiction) to use Veyalo. By using the App, you represent and warrant that you meet this age requirement. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

2. Account Registration

• You must create an account to use Veyalo. You agree to provide accurate, current, and complete information during registration.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You must promptly notify us if you become aware of any unauthorized use of your account.
• Each person may maintain only one account. We reserve the right to disable duplicate accounts.

3. Description of Service

Veyalo is a group-decision application that helps users discover and agree on restaurants and places to visit. Key features include:

• Swiping sessions: Create or join group sessions to swipe on nearby restaurants and places.
• Matching: When participants agree on a place (by unanimous vote, majority, or first-to-3), it is surfaced as a match.
• Saved places: Bookmark places while swiping or afterward from a session's results, and revisit them later in your Activity.
• Points & leaderboard: Earn points for activity such as swiping, matching, and running sessions. Points determine a rank tier and a leaderboard shown among your friends. Points and ranks are for engagement only and have no monetary value.
• AI Scanner: Photograph a restaurant menu or a plate of food to receive AI-generated identification of dishes with estimated calories, likely ingredients, and dietary tags.
• Nutrition goals & scan history: Optionally set a personal per-dish calorie limit and ingredients to avoid, and review your recent scans. These are stored only on your device.
• Friend connections: Add friends by alias and accept or decline incoming friend requests.

4. Subscriptions and Billing

• Veyalo Premium: Some features (such as unlimited swiping sessions and unlimited AI scans) require an auto-renewing subscription, offered as monthly and annual plans. Free accounts include a limited number of sessions and scans each month.
• Pricing and payment: Current prices are shown in the App before you purchase. Payment is charged to your Apple ID account upon confirmation of purchase.
• Auto-renewal: Your subscription renews automatically at the then-current price unless auto-renew is turned off at least 24 hours before the end of the current period. Your account is charged for renewal within the 24 hours before the current period ends.
• Managing and canceling: You can manage your subscription and turn off auto-renewal in your Apple ID account settings (Settings > your name > Subscriptions) after purchase. Deleting the App does not cancel your subscription.
• Free trials: Where a free trial is offered, any unused portion is forfeited when you purchase a subscription.
• Refunds: Purchases are processed by Apple and are subject to Apple's terms. Refund requests are handled by Apple; we cannot directly issue refunds for App Store purchases.
• Restoring purchases: If you reinstall the App or change devices, you can restore an active subscription from the Premium screen using "Restore Purchases."

5. Acceptable Use

You agree to use Veyalo only for its intended purpose and in compliance with all applicable laws. You agree not to:

• Use the App for any unlawful, harmful, or fraudulent purpose.
• Impersonate another person or misrepresent your identity or affiliation.
• Upload offensive, abusive, defamatory, or inappropriate content as your profile photo or display name.
• Attempt to gain unauthorized access to other users' accounts or data.
• Interfere with or disrupt the App's operation, servers, or networks.
• Use automated systems, bots, or scripts to access or interact with the App.
• Circumvent, disable, or interfere with any security features of the App.
• Reverse-engineer, decompile, or disassemble any part of the App.
• Use the App to harvest or collect personal information of other users.
• Send spam, unsolicited messages, or use the friend request system for harassment.

6. User Content

• You retain ownership of content you upload (such as profile photos and menu or food photos).
• By uploading content, you grant us a limited, non-exclusive, royalty-free license to use, process, and display it solely for the purpose of providing the App's features (e.g., displaying your avatar to session participants, processing menu or food photos for analysis).
• You represent that you have all necessary rights to the content you upload and that it does not infringe on any third-party rights.
• We reserve the right to remove content that violates these Terms without prior notice.

7. Location Services

• Veyalo requires access to your device location to find nearby restaurants and places.
• Location access is optional. You can revoke it at any time through your device settings, but core swiping functionality will be limited without it.
• We do not persistently track or store your location. Location data is used in real-time during active sessions only.

8. Third-Party Services and Content

• Restaurant information, photos, ratings, and reviews may be provided by third-party place and mapping services.
• With your explicit permission, AI Scanner analysis of menu and food photos is processed by third-party AI providers (Google Gemini or, as a fallback, OpenAI). You may withdraw that permission in the App settings. Results are estimates for informational purposes only and should not be relied upon as medical or dietary advice.
• We do not own or control third-party content and are not responsible for its accuracy, completeness, or availability.
• Links to or content from third-party services do not constitute endorsement.

10. Intellectual Property

• The App, including its design, features, code, graphics, and branding, is owned by Veyalo and protected by copyright, trademark, and other intellectual property laws.
• You may not copy, modify, distribute, sell, or create derivative works based on the App without our prior written consent.
• The Veyalo name, logo, and all related trademarks are the property of Veyalo.

11. Termination

• You may delete your account at any time from within the App (in the More tab). Account deletion is immediate and permanently removes your account data, including profile information, swipe history, saved places, and friend connections. Data stored only on your device (such as nutrition goals and scan history) can be cleared from within the App at any time.
• We may suspend or terminate your account at any time if you violate these Terms, engage in harmful behavior, or for any other reason at our sole discretion.
• Upon termination, your right to use the App ceases immediately. Sections of these Terms that by their nature should survive termination will continue to apply.

12. Disclaimers

• Veyalo is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.
• We do not warrant that the App will be uninterrupted, error-free, secure, or available at all times.
• We do not guarantee the accuracy of restaurant information, ratings, hours, prices, or availability shown in the App.
• We are not responsible for the quality, safety, or experience at any restaurant or place discovered through Veyalo.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Veyalo and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or damages arising from your use of or inability to use the App, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising out of or relating to these Terms or the App shall not exceed the amount you paid us (if any) in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless Veyalo and its affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the App, your violation of these Terms, or your violation of any rights of a third party.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of competent jurisdiction.

16. Changes to These Terms

We reserve the right to update these Terms at any time. When we do, we will update the "Effective date" at the top of this page. Your continued use of the App after any changes constitutes acceptance of the revised Terms. We encourage you to review this page periodically.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Veyalo regarding the use of the App and supersede any prior agreements.
